He was responsible for creating a $525 million finance facility for Marvel so it could self-finance it's top grossing products - keeping all the profit inside the company. He also launched the Iron Man franchise and Hulk reboot. Contrary to popular belief that he is "running" away from Disney, he was very helpful in creating the Disney Marvel relationship that later turned into Disney outright buying Marvel. He even worked for Disney as director of corporate development and strategic planning before he ever worked for Marvel. The real reason for his departure may simply be that he has not been offered a job at the new Disney/Marvel office.
If you think about it, him leaving makes sense, what would Marvel need a Chairman for after Disney takes over?
